SFC LE Paper 17: Regulation of Takeovers and Share Buy-backs

Paper 17 covers the Codes on Takeovers and Mergers and Share Buy-backs: scope, deal structures, the duties of each party, and buy-backs.

1. General framework

The Codes are administered by the SFC's Takeovers and Mergers Panel. They are non-statutory but bind practitioners, and the General Principles — above all equal treatment of shareholders — override individual rules.

2. Scope and application

You must judge whether a company is a public company within the Codes' reach, and whether a transaction is a takeover or merger caught by them.

3. Takeovers structures

The distinctions between general, partial, voluntary and mandatory offers, and how a scheme of arrangement works as an alternative route.

4. Triggering a mandatory offer

Acquiring or consolidating control triggers a mandatory general offer. Know how acting in concert is defined and how holdings are aggregated.

5. Obligations of the offeror

The offeror must have the financial resources to complete, supported by a financial adviser's confirmation, must keep to the timetable, and must treat all shareholders of a class equally.

6. Obligations of the offeree company

The board must act in shareholders' interests as a whole, refrain from frustrating action, and appoint an independent financial adviser to advise shareholders on the terms.

7. Obligations of financial advisers

Financial advisers must ensure clients understand and comply with the Codes, confirm the adequacy of funding, and stand down where conflicted. This is the most practice-oriented part of the paper.

8. Share buy-backs

The Share Buy-backs Code governs the methods, timing restrictions and disclosure for buy-backs, and addresses when a buy-back passively increases a holding and triggers an offer obligation.
